1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of picturepros.com and related services (the "Site") operated by LA Photos, LLC, doing business as Picture Pros ("LA Photos, LLC," "Picture Pros," "we," "us," or "our"). By accessing the Site, browsing photographs, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order. By placing an order you represent that you are an adult, or that a parent or legal guardian is making the purchase.

3. Photographs of Minors

Many photographs offered on this Site depict minors participating in youth sports. Photographs are taken and displayed at or in connection with organized events whose operators (leagues, clubs, and tournament directors) are responsible for obtaining any consents or releases required from parents or legal guardians. By purchasing or downloading a photograph you represent that you are the parent or legal guardian of a depicted minor, or that you are otherwise authorized to purchase or possess that photograph. If you believe a photograph of your child is displayed without authorization, use our photo takedown request and we will promptly review and remove it.

4. License to Purchased Images

When you purchase a printed product (proofs, prints, composites, banners, framed items), you own the physical item you receive — but not the photograph printed on it, which remains our copyrighted work. You may display, gift, and share your prints for personal, non-commercial purposes (including personal social media), but you may not reproduce, resell, or commercially exploit the image. When you purchase a digital download — whether an individual photo or a team photo — the image is licensed — not sold — to you for unlimited personal, non-commercial use: you may print, copy, save, and share it for yourself, your family, and your team, including on personal social media. You may not sell, license, sublicense, redistribute, publish, or otherwise profit from the image, and you may not provide it to third parties for commercial reproduction. Any commercial, editorial, or promotional use requires our prior written consent.

5. Intellectual Property

All photographs, images, composites, graphics, text, and other content on the Site are the property of Picture Pros or its licensors and are protected by United States and international copyright and other intellectual-property laws. Purchasing a product does not transfer ownership of any image or copyright. Watermarked preview images displayed on the Site remain our property and may not be downloaded, copied, or used for any purpose other than evaluating a purchase.

6. Orders, Pricing, and Payment

All orders are subject to acceptance and availability. Prices, promotions, and product descriptions may change at any time and may contain errors; we reserve the right to correct pricing or description errors, cancel orders affected by them, and refund amounts charged. Payment is processed by third-party payment processors; we do not store your full payment card details. You agree to provide accurate billing and shipping information.

7. Custom Products and Refunds

Photographs, printed proofs, prints, composites, banners, framed items, and other made-to-order products are custom goods produced specifically for your order. Except as required by law or as stated in a written refund policy, custom products are final sale once production begins. We will replace or refund items that arrive damaged, defective, or materially different from what you ordered — contact us promptly with your order details and photos of any damage.

8. Digital Products

Where digital downloads are offered, they are delivered by download link, which may expire after a stated period or a limited number of downloads. You are responsible for saving files promptly. Download links are personal to you and may not be shared or posted publicly. Most orders are fulfilled as physical printed products shipped to the address you provide; you are responsible for providing an accurate shipping address.

9. Prohibited Conduct

You agree not to:

• Scrape, crawl, bulk-download, or harvest photographs or Site content by automated means
• Remove, obscure, or crop out watermarks, or circumvent access controls or technical protections
• Download, possess, or distribute photographs of minors you are not authorized to access
• Use any photograph to harass, embarrass, exploit, or harm any person
• Interfere with the Site, probe or test its security without authorization, or upload malicious content
• Misrepresent your identity or your authority to purchase a photograph

We may suspend or terminate access and pursue available remedies for violations.

10. Privacy

Your use of the Site is also governed by our Privacy Policy.

11. Disclaimers

THE SITE AND ALL CONTENT AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LA PHOTOS, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR A PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless LA Photos, LLC and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

14. Governing Law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws rules.

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or service will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted by a neutral arbitrator under the consumer rules of the American Arbitration Association in Louisiana or, at your election, by telephone/video. You and LA Photos, LLC each waive the right to a jury trial and to participate in a class action, class-wide arbitration, or other representative proceeding. If this class-action waiver is found unenforceable, the arbitration requirement is void as to that claim.

16. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
